
Position Summary
The Corporate Counsel – Energy & Power Infrastructure position provides transactional legal support to Barton Malow Holdings LLC and its affiliates (the “Company”), with a primary focus on the Company’s power generation and energy infrastructure project work. This role serves as a legal partner to project teams and business stakeholders across all phases of the project lifecycle, from pursuit through closeout, on complex power generation and energy infrastructure projects. The Corporate Counsel negotiates and drafts complex commercial and EPC-related agreements, advises on compliance issues specific to the power and energy sector, develops contract playbooks and standard forms, and leverages contract lifecycle management (CLM) technology to drive consistency and efficiency across the Company’s contracting processes. This position also supports in-house litigation counsel on dispute workup and fact-finding as needed.

- Partners with project teams and business stakeholders across all phases of the project lifecycle, from RFP and pursuit through project closeout, providing legal guidance and contract support at each stage.
- Negotiates and drafts complex commercial and EPC-related agreements, including prime/owner contracts, equipment supply agreements (e.g., gas turbines and generators), interconnection agreements, owner-furnished equipment terms, vendor and subcontractor agreements, professional services agreements, and confidentiality agreements.
- Advises on risk allocation for complex technical and performance issues common to power generation projects, including schedule guarantees, output and efficiency guarantees, performance and liquidated damages structures, and warranty and punch list resolution.
- Collaborates with internal stakeholders across the Company to proactively address and resolve potential disputes while ensuring alignment with business objectives.
- Provides legal advice and consultation to Company leadership on a variety of industry, business, and regulatory matters affecting the power and energy sector.
- Develops and maintains contract playbooks, clause libraries, and standard form agreements tailored to power generation and EPC work, promoting consistency, reducing risk, and accelerating the contracting process.
- Utilizes and administers the Company’s contract lifecycle management (CLM) platform to manage contract workflows, approvals, and repository organization.
- Develops and oversees preventative legal and compliance education on relevant business and legal topics for Company team members.
- Completes any special projects as assigned by members of the Legal and Risk Department.
Required Knowledge, Education, Experience, Skills, and Abilities
- Juris Doctor from an accredited law school.
- Licensed and in good standing to practice law in at least one US state.
- Eight to ten years of experience in a law firm or in-house counsel setting.
- Construction law experience required, including construction contract drafting and transactional construction experience.
- Substantial experience in the power generation and energy sectors required, including negotiating EPC, design-build, or design-assist agreements for power plants, combined cycle facilities, or other large-scale energy infrastructure projects.
- Familiarity with the commercial and technical issues unique to power generation projects, such as equipment procurement, performance guarantees, and interconnection matters, strongly preferred.
- Experience with contract lifecycle management (CLM) platforms.
